Terms of Service
This Policy is effective on January 1, 2025.
These Terms of Service ("Terms") govern your access to and use of the services offered by Tynoc Tech ("Tynoc", "we", "us", or "our"), including our websites, applications, tools, and any related documentation (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services. We may update these Terms from time to time; when we make material changes we will take reasonable steps to notify you, and your continued use of the Services after an update means you accept the revised Terms.
1. Who We Are and What We Provide
Tynoc is a software engineering and product studio. We provide client engagements (such as MVP development, SaaS engineering, cloud and DevOps, automation, and internal business systems), along with informational websites, content, and related tools. The Services do not include professional legal, financial, or other regulated advice. Any client project is additionally governed by a separate written agreement or statement of work, which controls if it conflicts with these Terms.
2. Eligibility and Accounts
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services or enter into an agreement with us. If you create an account, you are responsible for the information you provide and for keeping your credentials secure.
- Provide accurate, current, and complete information and keep it up to date
- Keep your password confidential and do not share your account with others
- Notify us promptly of any unauthorized access to or use of your account
- You are responsible for activity that occurs under your account
- If you use the Services on behalf of an organization, you confirm you are authorized to bind that organization to these Terms
3. Acceptable Use
You agree to use the Services lawfully and respectfully. You may not use the Services in any way that harms Tynoc, our users, or third parties. In particular, you agree not to:
- Violate any applicable law, regulation, or third-party right
- Upload or transmit content that is unlawful, defamatory, harassing, hateful, or infringing
- Attempt to gain unauthorized access to our systems, accounts, or networks
- Introduce malware or interfere with the normal operation of the Services
- Scrape, harvest, or bulk-collect data from the Services using automated means without our written consent
- Impersonate any person or misrepresent your affiliation with any person or entity
- Use the Services to send spam or unsolicited communications
4. Your Content
You retain ownership of the content you submit to the Services ("Your Content"). By submitting Your Content, you grant Tynoc a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and use Your Content solely as needed to operate and provide the Services. You represent that you own or have the necessary rights to Your Content and that it does not violate these Terms or any third-party rights. You are solely responsible for Your Content.
5. Our Intellectual Property
The Services and all content we provide — including software, text, graphics, logos, and design (the "Tynoc Content") — are owned by Tynoc or our licensors and are protected by intellectual property laws. Except for the limited right to use the Services under these Terms, we grant you no rights to the Tynoc Content. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Tynoc Content without our prior written permission. The Tynoc name and logo are our trademarks and may not be used without permission.
6. Client Projects and Payment
Where we provide client services, the specific scope, deliverables, timeline, and fees are set out in a separate agreement or statement of work. In the absence of other written terms:
- Invoices are due within the period stated on the invoice
- Fees are exclusive of applicable taxes unless stated otherwise
- We may pause work on accounts with overdue balances
- Ownership of custom deliverables transfers to the client upon full payment
- We retain ownership of our pre-existing tools, frameworks, and general know-how
7. Third-Party Services and Links
The Services may contain links to, or integrate with, third-party websites and services that we do not control. We provide these only for convenience and are not responsible for their content, practices, or availability. Your use of any third-party service is at your own risk and subject to that third party's terms.
8. AI and Generated Output
Some Services may include AI-assisted features. Output produced by such features may be inaccurate or incomplete, and you should independently verify it before relying on it. Do not submit sensitive personal information into AI features. You are responsible for your use of any output, and we disclaim liability for reliance on AI-generated results.
9. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. Your use of the Services is at your sole risk.
10. Limitation of Liability
To the fullest extent permitted by law, Tynoc and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to your use of the Services. Our total liability for any claim relating to the Services is limited to the amount you paid us for the Services giving rise to the claim in the twelve months before the claim, or, if you paid nothing, one hundred US dollars ($100).
11. Indemnification
You agree to indemnify and hold Tynoc harmless from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Services, Your Content, your breach of these Terms, or your violation of any law or third-party right.
12. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services if you violate these Terms, if we discontinue the Services, or as otherwise permitted by law. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
13. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which Tynoc Tech is established, without regard to conflict-of-law rules. We encourage you to contact us first so we can try to resolve any dispute informally. If we cannot, disputes will be resolved by the competent courts of that jurisdiction, unless applicable law requires otherwise.
14. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will update the effective date above and take reasonable steps to notify you. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
